1. Eligible Licensees
This license applies exclusively to active customers of the licensor and to partners expressly authorized by the licensor ("Licensees").
Use of the Materials by any other third parties is not permitted unless the licensor has expressly consented.
This license terminates automatically upon the end of the customer or partner relationship, without requiring separate notice of termination.
2. Grant of Rights
The licensor grants the licensee a simple, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Materials for the marketing, distribution, explanation, and support of the licensee's services, to the extent that such services are rendered using the licensor's products.
The licensee may in particular:
- reproduce the Materials,
- distribute them to their own customers and prospective customers,
- use them on their own websites and in their own digital channels,
- use them in offers, presentations, training sessions, and other sales or informational documents,
- print them and distribute them in printed form.
3. Editing and Adaptation
The licensee may edit and adapt the Materials, in particular by adding their own contact details, adapting them to their own corporate design, making abridgements, linguistic adjustments, or translations.
It must remain recognizable at all times that the Materials relate to the licensor's products. In particular, the licensee must not create the impression that the products or functions depicted are their own developments or originate from another manufacturer.
Modifications must not result in factually incorrect, misleading, or ambiguous statements about the licensor's products, functions, services, or responsibilities.
4. Prohibited Use
The licensee is not permitted to:
- sell, rent, or otherwise commercially exploit the Materials as an independent product,
- license the Materials to third parties or enable third parties to use the Materials independently,
- use the Materials in an unlawful, misleading, defamatory, or otherwise abusive manner,
- create the impression of a corporate connection, joint venture, authority to represent, or other special relationship with the licensor, unless such a relationship expressly exists,
- make statements about the licensor's products, functions, or services that go beyond the information provided or approved by the licensor.
5. Ownership of Rights
All rights in the Materials remain with the licensor or the respective rights holders.
This license does not constitute an acquisition of ownership, copyright, trademark, or other intellectual property rights in the Materials, the licensor's products, or other designations of the licensor.
6. Third-Party Trademarks and Designations
The Materials may contain trademarks, logos, product names, company designations, or other intellectual property rights of third parties, such as designations of technology, platform, or integration partners.
The licensee is responsible for complying with the applicable marking, use, and trademark guidelines of the respective rights holders when using, editing, and distributing the Materials.
Where marking of trademarks or other third-party rights is required, it is the licensee's responsibility to ensure such marking in the specific use of the Materials.
The licensor does not warrant that the use of trademarks, logos, product names, or other third-party designations contained in the Materials is permissible for the licensee's specific intended purpose.
7. Currency of Materials
The licensee is responsible for using current versions of the Materials at all times.
The licensor may amend, update, replace, or remove Materials at any time. There is no entitlement to the ongoing provision of specific Materials.
8. Revocation and Cessation of Use
The licensor may revoke this license at any time with effect for the future, in particular in the event of violations of these license terms or use that is likely to impair the licensor's legitimate interests.
Upon termination or revocation of the license, the licensee must immediately cease further use of the Materials and, at the licensor's request, remove published or distributed Materials, to the extent that this is legally and practically possible for the licensee.
9. Warranties and Liability
The Materials are provided without warranty as to completeness, currency, legal permissibility, or fitness for a particular purpose.
The licensee is solely responsible for verifying whether the use of the Materials in their specific context of use is legally, technically, and factually correct.
The licensor's liability for the provision and use of the Materials is excluded to the extent permitted by law.
10. Final Provisions
This license is subject to the law of the Federal Republic of Germany.
Should individual provisions of this license be or become invalid, the validity of the remaining provisions shall not be affected.
